This document is the Financial Proposal referred to in the Samsung Food Korean Recipe Hub Terms and Conditions for the Korean Recipe Hub (the “Korean Recipe Hub Terms”) and explains the basis on which you are able to earn monetary payment from your participation in the Korean Recipe Hub (referred to below as the “Korean Recipe Hub”). All of the terms of this Financial Proposal are subject to the Korean Recipe Hub Terms. In the event any terms of this Financial Proposal conflict with the Korean Recipe Hub Terms, the Korean Recipe Hub Terms shall prevail. Foodient Ltd. may change the Financial Proposal in its sole discretion from time to time and shall notify you of any such changes and the date from which the changes will take effect.
Objective
The objective of the Korean Recipe Hub is to increase the number and quality of Korean recipes on the platform, improving the experience of Korean users. By creating recipes on the Samsung Food platform, Creators help the Samsung Food platform build an inspired cooking community. In return, Foodient Ltd. rewards Creators for producing and sharing high quality recipes.
Definitions and Qualifications
Only Complete Recipes will qualify for payment. A “Complete Recipe” is a recipe that (i) contains each of the following elements:
- original photo for recipe;
- recipe title & description;
- complete list of ingredients;
- full instructions for making the recipe;
and (ii) is saved to the Samsung Food platform to be accessible by all Samsung Food users (i.e. marked as Privacy = Public in the Community settings).
Please note that the Complete Recipe (including each of the elements) must be owned by you (Creator) and comply with section 5 of the Samsung Food Standard Terms.
Payment Terms
Whilst the contract to which this Financial Proposal relates is between you and Foodient Ltd. (governed by the Korean Recipe Hub Terms), where we have been introduced by a third party network that continues to represent you, any and all sums due to you as a result of your participation in the Korean Recipe Hub will be paid to such third party network on your behalf. The third party network will have sole responsibility for the administration and payment of such sums to you (as further described in clause 5 of the Korean Recipe Hub Terms). In such instances, references in this Financial Proposal to sums that may become due to you shall be deemed to be references to sums that may become due to you indirectly through payment by us to any such third party network.
The following are the actions on which payments under the Korean Recipe Hub are generated:

Foodient Ltd may, in its sole discretion, cancel the addition of some or all of the Complete Recipes provided by you at any time before those Complete Recipes provided by you are added to the Samsung Food platform. In such circumstances, Foodient Ltd shall not be liable to make any payment to you in respect of the cancelled Complete Recipes.
If you delete a Complete Recipe from the Samsung Food platform after receiving payment for it, or change a Complete Recipe on the Samsung Food platform in a manner that adversely affects the quality of that recipe, Foodient Ltd reserve the right to recover the sum paid to you for that Complete Recipe or to set off that sum against any future sums that may be owed to you.
Payment shall become due to you when you have provided the total number of Completed Recipes specified in the Application Form (less any reductions arising from the circumstances outlined in the preceding paragraphs, where applicable).
Licence for Samsung Food to use Completed Recipes
You grant to Foodient Ltd an irrevocable, perpetual, worldwide, non-exclusive, transferable, sublicensable, and royalty-free right and license to use, reproduce, display, distribute, modify, adapt, publish, translate, and create derivative works based upon the Complete Recipes that you create and provide to the Samsung Food platform in any media and for any purpose whatsoever, without further consent from you or payment to you.
Please note that the above licence will continue to apply even if your participation in the Korean Recipe Hub is terminated.
